Acceptance of terms
By creating an account or using MDS Vault (our website, our iOS and Android apps, and the storage service), you agree to these terms and to our Privacy Policy. If you're using MDS Vault on behalf of a company, you're agreeing on that company's behalf and confirming you have the authority to do so. You must be at least 13 years old (or the minimum age in your country) to use MDS Vault.
MDS Vault is provided by Anshin Sumai LLC,3-6-9 Minamisuna, Koto-ku, Tokyo, Japan.
The service
MDS Vault provides encrypted cloud storage for documents, photos and videos, accessible on the web and in our iOS and Android apps, with tools to organize, back up, share and edit your files. Your files are encrypted in transit and at rest; how we handle them is described in our Privacy Policy.
Some features, such as automatic photo backup, folder locking and syncing, are available only on certain plans. Features may change over time; we'll tell you in advance if we remove a feature you're paying for.
Your account
You're responsible for keeping your sign-in details secure and for activity under your account. Please use a strong password and turn on two-factor authentication. If you forget your password you can reset it by email; if you lose access to both your password and your email address or authenticator, contact support and we'll help you verify that the account is yours.
Tell us right away at support@mds-vault.com if you think someone else has accessed your account.
Plans, billing & storage
- The Free plan and our paid plans, with their storage amounts, features and prices, are listed on our pricing page.
- Paid plans are billed monthly or yearly in advance and are purchased on our website, where payments are processed by Stripe. They are not sold through the Apple App Store or Google Play, so Apple and Google can't manage or refund them.
- Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel any time on the website under Profile → Billing; you keep your plan until the end of the period you've paid for, and you won't be charged again. You can also undo a cancellation before that date.
- Business and Enterprise plans may be billed under a separate order form or contract, which takes precedence where it differs from these terms.
- If you go over your plan's storage limit (for example when a paid plan ends and you move back to Free), you have 30 days to free up space or upgrade, and we'll email you reminders during that time. You can keep uploading up to 10% over the limit; beyond that, uploads are paused. If you're still over the limit after 30 days, your oldest files are permanently deleted until your storage is back within the limit.
- Prices include or exclude taxes as shown at checkout. If we change the price of your plan, we'll tell you at least 30 days before it applies to you.
- Refunds are handled case by case; please contact support. This doesn't affect any rights you have under consumer law.
Acceptable use
You agree not to use MDS Vault to store or share content that is illegal, infringes others' rights, exploits children, or distributes malware; not to harass or harm others; and not to try to break, overload or get around the security of the service. We don't routinely look at the contents of your files, but we may review content and suspend accounts when we receive a credible report, are required to by law, or detect abuse.
Your content
You keep full ownership of everything you upload. You give us permission to store, copy, process and transmit your files only as needed to run the service for you: for example to create thumbnails and previews, read photo dates and locations, let you edit documents, back up your photos, and deliver files to the people you choose to share them with. We don't use your files for any other purpose, and this permission ends when your files are deleted.
You're responsible for having the right to upload and share what you store. MDS Vault is designed to keep your files safe, but please keep your own copies of anything irreplaceable.
Deleting your content and account
Files and folders you delete go to your Trash, where you can restore them for 45 days before they're permanently deleted. You can delete your account at any time in the app (Me → Delete account) or on the website (Profile → Delete account). If you have a paid plan, cancel it first. Once your account is deleted you can no longer sign in, and your personal files and data are permanently deleted within 30 days, as described in our Privacy Policy.
Suspension & termination
We may suspend or close accounts that seriously or repeatedly break these terms or the law, or to protect other users or the service. Where reasonably possible we'll tell you first and give you a chance to download your files. If we close an account without a breach on your part, we'll refund any prepaid, unused part of a paid plan.
If we ever discontinue MDS Vault, we'll give you at least 60 days' notice to download your files.
Mobile app stores
If you downloaded our app from the Apple App Store or Google Play, these terms are between you and us, not Apple or Google. We, not Apple or Google, are responsible for the app, its content, maintenance and support, and for handling any claims about it (including product liability, legal compliance, and intellectual property claims). Apple has no obligation to provide maintenance or support for the app. If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any; to the maximum extent permitted by law, Apple has no other warranty obligation for the app. You confirm you are not located in a country subject to a U.S. Government embargo or listed on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. Your use of the app must also follow the app store's own terms.
Disclaimers & limitation of liability
We work hard to keep MDS Vault reliable and secure, but the service is provided "as is" and we can't guarantee it will always be available or error-free.
To the extent permitted by law, our total liability for any claim relating to MDS Vault is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential losses. These limits do not apply to damage caused by our intentional misconduct or gross negligence, or where the law (including Japan's Consumer Contract Act) doesn't allow liability to be limited, and they don't affect your statutory rights as a consumer.
Changes to these terms
We may update these terms from time to time. We'll post the new date above and, for material changes, tell you by email or in the app at least 30 days before they take effect. If you don't agree to the changes, you can cancel and delete your account before then.
Governing law
These terms are governed by the laws of Japan. Any dispute will be handled by the Tokyo District Court as the court of first instance, except where consumer law gives you the right to bring a claim where you live.
